These Terms of Use apply to the NowCloud website, demo requests, customer portal and NowCloud Reports service. A signed agreement, order form, statement of work or Data Processing Agreement takes precedence over these terms if there is a conflict. For contract questions, email info@nowcloud.nl.

1. The service

NowCloud Reports provides Microsoft 365 reporting and expert review. The service reads authorised Microsoft 365 tenant data through Microsoft Graph after the customer grants read-only admin consent. NowCloud processes that data in Microsoft Azure, Microsoft Fabric and Power BI Embedded to provide reports, customer portal access, support and consultancy.

NowCloud Reports is a decision-support and consultancy service. It does not replace the customer's own security, compliance, legal, financial or operational responsibilities. The customer remains responsible for deciding whether and how to implement any recommendation.

2. Business use only

The service is intended for business customers. By requesting a demo, buying a subscription, granting admin consent or using the portal for an organisation, you confirm that you are authorised to act for that organisation.

3. Customer responsibilities

The customer is responsible for providing accurate onboarding, billing and contact details; ensuring it has the right to provide or authorise processing of Microsoft 365 tenant data; granting and maintaining the required read-only Microsoft Graph consent; managing its own Microsoft 365 tenant; reviewing reports and recommendations; and ensuring its users comply with these terms.

The customer must not use the service to access another tenant without authorisation, interfere with the service, bypass security controls, reverse engineer the service, perform abusive automated requests, upload malicious content, or use the service unlawfully.

4. Portal users and account security

Customer portal access is invite-based. Each user must use their own account and keep credentials secure. The customer is responsible for approving, reviewing and removing users who should no longer have access. Notify NowCloud promptly if you suspect unauthorised access.

5. Plans, fees and billing

Unless otherwise agreed in writing, the published monthly plans are:

  • Starter: EUR 295 per month.
  • Standard: EUR 595 per month.
  • Premium: EUR 1,195 per month.
  • Extra Microsoft 365 consultancy: EUR 145 per hour.
  • Prices exclude VAT and other applicable taxes unless stated otherwise.

Subscriptions are billed monthly unless another billing period is agreed. Invoices must be paid by the due date stated on the invoice. NowCloud may suspend or limit access for unpaid, unlawful or security-risk use after giving reasonable notice where practicable.

6. Consultancy hours

Included consultancy hours are used for reviewing reports, explaining findings, answering Microsoft 365 reporting questions and helping prioritise next steps. Unused included hours do not roll over unless agreed in writing. Additional consultancy is billed at the rate agreed in the order or, if none is agreed, at the published hourly rate.

7. Cancellation and termination

Monthly plans can be cancelled before the next billing cycle unless a different commitment is agreed in writing. Cancellation stops future renewals but does not remove payment obligations for fees already incurred.

After termination, NowCloud will disable portal access and delete or return customer reporting data according to the applicable agreement and DPA, subject to legal, security, backup and accounting retention requirements.

8. Data protection

For customer reporting data, NowCloud acts as processor and the customer acts as controller unless the applicable agreement states otherwise. Customer data is isolated per tenant, hosted in EU Microsoft cloud regions and processed under the applicable DPA. A DPA is available on request.

9. Security and service dependencies

NowCloud uses reasonable technical and organisational measures to protect the service, including read-only Microsoft Graph permissions, tenant-isolated Fabric workspaces, encryption in transit and at rest, access controls and operational monitoring.

The service depends on Microsoft Azure, Microsoft Fabric, Power BI, Microsoft Entra, Microsoft Graph and the customer's Microsoft 365 tenant. Microsoft service changes, API limits, tenant configuration, licence restrictions or outages can affect availability, data freshness or report content.

10. Intellectual property

The customer keeps ownership of its data. NowCloud and its licensors keep ownership of the website, portal, software, report templates, semantic models, documentation, know-how, designs and other service materials. The customer receives a limited, non-exclusive, non-transferable right to use the service during the subscription for its internal business purposes.

If you provide feedback or suggestions, NowCloud may use them without restriction or compensation, provided this does not disclose customer confidential information.

11. Confidentiality

Each party must protect the other party's non-public business, technical and operational information with reasonable care and use it only for the relationship between the parties, unless disclosure is required by law or authorised in writing.

12. Warranties and disclaimers

NowCloud aims to provide the service with reasonable skill and care. Reports and recommendations are based on available Microsoft 365 data, Microsoft APIs and the subscribed reporting scope. NowCloud does not guarantee that reports are error-free, uninterrupted, complete for every possible compliance framework, or sufficient to prevent incidents, audit findings or losses.

13. Liability

To the maximum extent permitted by law, neither party is liable for indirect loss, loss of profit, loss of revenue, loss of goodwill, business interruption or consequential damages. NowCloud's total aggregate liability for claims relating to the service is limited to the fees paid by the customer for the affected service in the three months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot legally be limited, including liability for intent, deliberate recklessness, fraud, or payment obligations.

14. Changes

NowCloud may improve or change the website, portal, reporting scope, integrations and these terms. Material changes that negatively affect a paid subscription will be communicated with reasonable notice where practicable. The latest terms are published on this page.

15. Governing law

These terms are governed by the laws of the Netherlands, unless mandatory law requires otherwise. Disputes will be submitted to the competent court in the Netherlands, unless the parties agree another dispute resolution process in writing.
